Watermarks communicate

A watermark changes what the reader sees. It can identify a draft, discourage redistribution or show that a copy is confidential.

Anyone who can open the file can still see the document, so the watermark does not determine who gets access.

Passwords restrict opening

Password protection encrypts the PDF so compatible readers require a password before displaying its contents. The strength of that protection depends on the encryption method and the quality of the password.

A password should be shared through an appropriate separate channel when possible instead of being sent in the same message as the protected attachment.

Use both when their roles are needed

A confidential file can be password-protected for access control and watermarked to communicate handling expectations after it is opened. The two controls solve different problems.
